CleanSheet Terms & Conditions

Last Updated:

These terms describe the general conditions for evaluating and using CleanSheet by NexTechEG. Your applicable quotation, proposal, order form, license, and commercial agreement define the specific rights and services purchased.

1. Introduction

CleanSheet is provided by NexTechEG for business use. These terms should be read together with the applicable commercial documents and Privacy Policy.

2. Acceptance of Terms

By requesting access to or using CleanSheet, you agree to these terms to the extent applicable to that access or use. If acting for an organization, you must have authority to do so. Submitting an enquiry does not by itself purchase a production license or replace a signed commercial agreement.

3. CleanSheet Product

CleanSheet supports business-data preparation, analysis, and reporting for Excel and CSV datasets. Features, deployment scope, integrations, and deliverables depend on the version and agreement. Customers should assess its suitability for their intended workflows and verify important results.

4. License Grant

CleanSheet is licensed software, not a transfer of software ownership. Subject to the applicable agreement and its conditions, NexTechEG grants the customer the right to use CleanSheet for the agreed organization, users, and authorized deployments. Production licenses may be perpetual depending on the commercial agreement. Support and update entitlement can have a separate validity period.

5. License Restrictions

Unless explicitly permitted in writing by NexTechEG, the customer must not resell, redistribute, reverse engineer, copy, sublicense, share the license with another organization, or use it on unauthorized deployments. These restrictions apply to the extent permitted by applicable law and do not exclude rights that cannot lawfully be restricted. Any approved backup, test, or recovery copies and environments must follow the agreement.

6. Customer Responsibilities

The customer is responsible for lawful use, required permissions, accurate account and commercial information, suitable infrastructure, backups, and its own operational decisions. Do not upload data you are not authorized to process. Customer-hosted installations must meet agreed technical requirements and be administered securely.

7. Accounts and Access

Protect account credentials, assign appropriate user permissions, and promptly report suspected unauthorized access. Users must stay within the organization, user limits, and deployment scope covered by the license. The customer is responsible for managing access for its personnel.

8. Customer Data and Ownership

The customer owns its uploaded business data. NexTechEG receives no ownership of that data by licensing the software. The customer remains responsible for the content, permissions, quality, and retention of its datasets and for validating outputs before relying on them.

9. Data Processing and Deployment

CleanSheet may run on customer-controlled infrastructure, where business data can remain within the customer’s environment. If NexTechEG is engaged to host, process, or access customer data for an agreed purpose, the scope and instructions are governed by the applicable agreement and any agreed data-processing terms. On-premise installation does not automatically authorize remote access or make every deployment fully offline.

10. Intellectual Property

NexTechEG retains ownership of CleanSheet software, source code, algorithms, branding, documentation, and related intellectual property, subject to any third-party rights. Customers receive only the rights expressly granted in their agreement. Customer data ownership is unaffected.

11. Support and Maintenance

Support channels, scope, service hours, response commitments, maintenance, and entitlement periods are defined in the applicable agreement. A perpetual production license does not automatically include perpetual support or maintenance. No response-time or resolution guarantee applies unless agreed in writing.

12. Updates and New Versions

Access to updates, upgrades, and new versions depends on the purchased entitlement. Features may evolve. Installation responsibilities, compatibility, and any required testing or migration are determined by the deployment and agreement. An expired update entitlement does not by itself redefine the term of a separately granted perpetual production license.

13. Availability and Maintenance

Availability depends on the deployment, infrastructure, integrations, and maintenance arrangements. Customer-controlled infrastructure is operated by the customer unless agreed otherwise. Maintenance, failures, or third-party outages may interrupt access. Any availability commitment must be stated in the applicable agreement.

14. Fees and Payment

Pricing, deployment fees, support, maintenance, and user limits are defined in the applicable quotation, proposal, order form, or commercial agreement. Currency, taxes, payment milestones, renewals, and any cancellation or refund provisions are also contract-specific. These website terms do not set fixed prices or maintenance percentages.

15. Confidentiality

Each party should protect non-public information received from the other, use it only for the agreed purpose, and limit disclosure to people or providers who need it and are bound by appropriate duties. Confidentiality does not generally extend to information lawfully public, independently developed, or lawfully received without restriction. Legally required disclosures remain subject to applicable safeguards. Any agreed NDA or confidentiality clause governs the specific obligations.

16. Security

Both parties must carry out their agreed security responsibilities. Customers should maintain secure access, supported infrastructure, and recovery procedures. Security incidents or vulnerabilities affecting the service should be reported promptly. No statement here guarantees that the software is free from all vulnerabilities or that every deployment meets a particular certification or regulatory standard.

17. Third-Party Services

Third-party software, infrastructure, integrations, and external services may have their own terms and licenses. The customer is responsible for authorizing any integrations it enables. NexTechEG’s responsibility for third-party components or services is governed by the applicable agreement and mandatory law.

18. Prohibited Activities

Do not use CleanSheet unlawfully, infringe others’ rights, introduce malicious code, gain unauthorized access, disrupt services, or bypass licensing and security controls. Do not use it to process or disclose data without the required authority.

19. Suspension and Termination

Access or services may be suspended or terminated in accordance with the agreement and applicable law, including for material breach, unauthorized use, or a serious security risk. Notice, opportunities to remedy a breach, payment consequences, and data-return or deletion arrangements depend on the agreement and law. Termination of support alone does not automatically terminate an otherwise valid perpetual production license. When a license ends, use must cease as required by its terms.

20. Disclaimer of Warranties

Except for warranties expressly included in the applicable agreement or required by law, CleanSheet is provided as available without additional implied promises of uninterrupted operation, error-free results, or fitness for every business purpose. Customers must review outputs and maintain appropriate safeguards. Nothing excludes a warranty that cannot lawfully be excluded.

21. Limitation of Liability

Liability allocation, any agreed caps, and exclusions are governed by the applicable commercial agreement and mandatory law. To the extent lawfully permitted and consistent with that agreement, NexTechEG is not responsible for indirect or consequential losses arising from use of the software. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

22. Changes to Terms

We may publish updated terms with a revised Last Updated date. Changes do not automatically rewrite a signed agreement or retrospectively remove rights already granted. The applicable agreement and law determine whether further notice or acceptance is required.

23. Governing Terms

The applicable signed commercial agreement and its agreed order of precedence govern any conflict with these general website terms. Governing law, jurisdiction, dispute resolution, and language precedence should be specified in that agreement; these pages do not impose a new jurisdiction. Mandatory laws that apply to the parties remain applicable. The English and Arabic pages describe the same general terms.
